STEMania Terms of Service

These Terms of Service ("Terms") govern your use of the STEMania platform, including STEMania Admin (admin.stemania.com) and STEMania Teacher (teacher.stemania.com) (together, the "Services") operated by STEMania ("we," "us," or "our"). By accessing or using the Services, you agree to these Terms.

1. Acceptance and Eligibility

By creating an account or using the Services, you agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years old and have the authority to enter into these Terms on your own behalf or on behalf of your organization. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of the Services

The Services provide web-based tools for:

  • STEMania Admin: Managing franchises, schools, teachers, classes, curriculum, payroll, contractor onboarding (including W-9 and contract e-signature), and related operations.
  • STEMania Teacher: Accessing lesson materials, managing assigned classes, and completing administrative tasks (e.g., W-9, contract signing, payment information) as a contractor.

We may add, change, or discontinue features with reasonable notice where practicable.

3. Account Registration and Security

You must provide accurate and complete information when registering and keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly of any unauthorized use or breach of security.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

  • Violate any applicable law or regulation
  • Infringe or misappropriate the intellectual property or privacy rights of others
  • Transmit malware, spam, or harmful or fraudulent content
  • Attempt to gain unauthorized access to the Services, other accounts, or our systems or networks
  • Use the Services to harass, abuse, or harm others, or to collect data about others without consent
  • Resell or sublicense the Services or use them to build a competing product without our written consent

We may suspend or terminate your access if we reasonably believe you have violated these Terms.

5. Contractor and Tax Documents

If you use the Services as a contractor (e.g., teacher), you agree to provide accurate W-9 and other tax-related information and to sign contractor agreements as required. You are responsible for the accuracy of the information you submit. We and our clients (e.g., franchise owners) may rely on that information for tax reporting and compliance.

6. Payment Terms

Payment processing (e.g., payouts to contractors) may be handled by third-party providers (e.g., Stripe). Your use of those features is subject to the provider's terms and our instructions within the Services. We are not responsible for the provider's actions or failures. Disputes regarding payment amounts or timing should be raised through the appropriate channel (e.g., your franchise or our support).

7. Intellectual Property

The Services, including their design, text, graphics, logos, and software (excluding user-provided content), are owned by STEMania or our licensors and are protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You do not acquire any ownership rights in the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEMANIA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless STEMania and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms or any law, or (c) your violation of any third party's rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including 7–10 and this sentence) will survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

13. Changes to the Terms

We may modify these Terms from time to time. We will post the updated Terms on the Services and update the "Last updated" date. Material changes may be communicated by email or in-app notice. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms.
